Acknowledgement

The undersigned acknowledges that the personal and business financial statements and other information submitted in this application will be used by the LoanWell Marketplace and/or potential creditors to make decisions regarding evaluating, providing, establishing, or maintaining credit on behalf of the undersigned or on behalf of persons or entities on whose behalf the undersigned may execute a guaranty.

The undersigned acknowledges that the LoanWell Marketplace does not itself make loans or otherwise extend credit; rather, the LoanWell Marketplace evaluates information to match borrowers and lenders and may share information with prospective lenders who may be interested in making loans or otherwise extending credit. The undersigned acknowledges that: (1) the LoanWell Marketplace has no authority to make a loan commitment on behalf of any entity; and (2) any loan commitment by a participating lender must be in writing and signed by an authorized representative of that lender.

Certifications, Representations, and Warranties

The undersigned hereby certifies, represents, and warrants as follows:

- the financial statements submitted in this application are true and correct and are prepared in accordance with US generally accepted accounting principles (“GAAP”);

- all information submitted in this application and related materials is true, accurate, and complete, and does not omit any material fact;

- the business seeking credit and each of its subsidiaries (if any) is duly organized and validly existing and in good standing under the laws of its respective jurisdiction of organization, is duly qualified to do business and is in good standing in each jurisdiction in which its ownership or business conduct requires such qualification; and

- the undersigned and the business seeking credit and each of its subsidiaries do not discriminate on the basis of race, color, religion, national origin, sex, age, handicap, sexual preference, or marital status.

Authorization to Collect and Provide Information

The undersigned hereby authorizes the LoanWell Marketplace or any of its affiliates to make inquiries with credit bureaus and others it deems necessary or appropriate – including but not limited to landlords, business counselors, consultants, and partnering agencies – to verify the accuracy and completeness of the information provided by the undersigned herein to assist in match decisions.

The undersigned hereby authorizes the LoanWell Marketplace to share with prospective lenders the financial and other information provided by the undersigned and/or obtained from credit bureaus or other third parties.
